These Website Terms of Use (the “Terms”) apply to access to and use of the website https://www.praestowindowfurnishings.com (the “Site”) operated by PRAESTO LLC, an Arizona limited liability company (“Praesto,” “we,” “us,” or “our”).
These Terms are intended solely for business customers, commercial partners, and other professional users. The Site is provided primarily for product display, technical reference, and business-to-business communication purposes. Praesto does not operate this Site as a consumer e-commerce platform.

1. SCOPE OF SERVICES AND WEBSITE USE

The Site is provided for informational, promotional, and technical reference purposes only. Product descriptions, specifications, drawings, samples, pricing references, and other materials displayed on the Site do not constitute a binding offer to sell.
All sales, distributions, or supply relationships are governed exclusively by separate written documents, including quotations, purchase orders, order confirmations, invoices, distributor agreements, or supply agreements.

2. INTELLECTUAL PROPERTY RIGHTS

All intellectual property remains the exclusive property of Praesto. No license is granted except as expressly stated in writing.

3.INTERNATIONAL DISTRIBUTORS

International distributors acknowledge that they are responsible for compliance with all local laws, import/export regulations, customs duties, taxes, certifications, and labeling requirements applicable in their jurisdiction. Praesto does not provide legal or regulatory advice regarding foreign compliance.

4. ORDERS, ACCEPTANCE, AND PAYMENT

All orders are subject to Praesto’s written acceptance. Payment terms, currency, and timing are governed by the applicable invoice or agreement. Praesto reserves the right to require advance payment for international or custom orders.

5.CUSTOM AND MADE-TO-ORDER PRODUCTS

Many Praesto products are manufactured to order or customized. Unless expressly agreed otherwise in writing:
– Custom and made-to-order products are non-cancellable and non-returnable.
– Changes after production release may result in additional costs or delays.
– Minor variations due to manufacturing tolerances shall not constitute defects.

6. DELIVERY, TITLE, AND RISK OF LOSS

Delivery terms shall be as stated in the applicable invoice or agreement. Title and risk of loss pass in accordance with the agreed Incoterms or delivery terms.

7. CONFIDENTIALITY

Any non-public technical, pricing, or commercial information disclosed by Praesto shall be treated as confidential.

8. DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED IN WRITING, PRODUCTS AND SERVICES ARE PROVIDED “AS IS.” PRAESTO DISCLAIMS ALL IMPLIED WARRANTIES.

9. LIMITATION OF LIABILITY

Praesto’s total liability shall not exceed the amounts paid by Customer for the specific order giving rise to the claim

10. INDEMNIFICATION

Customer agrees to indemnify Praesto against claims arising from misuse, non-compliance with local laws, or resale activities.

11. GOVERNING LAW

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-law principles.

12. DISPUTE RESOLUTION

Disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Phoenix, Arizona, USA.

13. FORCE MAJEURE

Praesto shall not be liable for delays caused by events beyond reasonable control.

14. MISCELLANEOUS

These Terms constitute the entire agreement relating to their subject matter.
